Welcome to Merkatico (“we,” “our,” or “us”). Merkatico provides a software platform for marketing performance analysis, planning, and optimization. By using our services, you agree to these Terms of Service (“Terms”), the Privacy Policy, and any additional agreements or documents referred to herein.
1. Acceptance of Terms
By accessing or using Merkatico’s services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Services
2.1 Scope
Merkatico provides tools for media planning, marketing mix modeling, scenario forecasting, and campaign performance analysis.
2.2 Custom Engagements
Certain services may be delivered under separate Order Forms or Statements of Work (SOW). In case of conflict, such documents will prevail over these general Terms.
3. Fees & Payment
Access to Merkatico may require payment depending on your subscription plan or custom engagement. Pricing and billing details are defined in applicable agreements and may be updated from time to time.
Invoices are payable within the period specified in your plan or contract, generally within 30 days of issue unless agreed otherwise. Continued access to the Services is contingent on timely payment. We reserve the right to suspend or terminate Services for overdue accounts.
4. User Data
4.1 Responsibility
You are responsible for the accuracy, completeness, and legality of the data you provide to Merkatico. We are not liable for issues arising from erroneous or unlawful data input.
4.2 Data Handling
Merkatico processes your data only to deliver Services, in accordance with our Privacy Policy. Data is never sold or shared with third parties, except when legally required or explicitly agreed.
4.3 Data Transfers
If data is transferred outside the European Economic Area (EEA), we will obtain your prior written consent and ensure appropriate safeguards under applicable data protection laws.
5. Intellectual Property
All intellectual property rights in and to the Services—including software, UI/UX, analytics models, and documentation—remain the sole property of Merkatico or its licensors.
You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes and subject to these Terms.
6. Disclaimers & Warranties
The Services are provided “as is” without warranties of any kind, express or implied. We do not guarantee that the Services will be error-free, uninterrupted, or fit for a particular purpose.
7. Limitation of Liability
To the fullest extent permitted by law, Merkatico shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits or data. Our total liability under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim.
8. Termination
8.1 By You
You may terminate use of the Services at any time by ceasing access and notifying us in writing.
8.2 By Us
We may suspend or terminate your access immediately for material breach, unlawful activity, or upon insolvency.
8.3 Effect of Termination
Upon termination, your access to the Services will be revoked, and we will delete or anonymize your data unless retention is legally required.
9. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Poland. Any disputes will be resolved exclusively by the courts located in Warsaw, Poland.
10. Changes to Terms
We reserve the right to update or modify these Terms at any time. We will notify you of significant changes via email or dashboard notification. Continued use of the Services constitutes acceptance of the updated Terms.
11. Miscellaneous
Entire Agreement: These Terms, along with any supplemental agreements (e.g. Order Forms, SOWs), constitute the complete agreement between the parties.
Severability: If any provision is held invalid, the remaining provisions remain in full force.
Waiver: Failure to enforce a provision does not constitute a waiver of future enforcement.
Assignment: You may not assign rights or obligations under these Terms without our written consent.
