Usługa jest świadczona w fazie beta. Zakres funkcji, stabilność, dostępność oraz postanowienia Regulaminu mogą być aktualizowane w miarę rozwoju produktu, w granicach dozwolonych przez prawo i z zachowaniem zasad określonych w Regulaminie (w tym w sprawie zmian i powiadomień).

The Service is provided in a beta phase. Features, stability, availability, and these Terms may be updated as the product evolves, within the limits permitted by law and subject to the provisions of these Terms (including on changes and notices).

Niniejszy Regulamin określa zasady świadczenia usług przez Merkatico (dalej: „Usługodawca"), ul. Za Lasem 26, 76-107 Jarosławiec, NIP: 9671318231, na rzecz klientów korzystających z platformy Marketing Mix Modeling dostępnej pod adresem merkatico.com (dalej: „Platforma" lub „Usługa").

These Terms of Service govern the provision of services by Merkatico (hereinafter: "Service Provider"), ul. Za Lasem 26, 76-107 Jarosławiec, VAT: PL9671318231, to customers using the Marketing Mix Modeling platform available at merkatico.com (hereinafter: "Platform" or "Service").

1DefinicjeDefinitions

• Usługodawca — Merkatico, NIP: 9671318231.Service Provider — Merkatico, VAT: PL9671318231.
• Klient — osoba fizyczna lub prawna, która zawarła umowę z Usługodawcą i korzysta z Platformy.Customer — a natural or legal person who has entered into an agreement with the Service Provider and uses the Platform.
• Użytkownik — osoba upoważniona przez Klienta do korzystania z Platformy w jego imieniu.User — a person authorised by the Customer to use the Platform on their behalf.
• Platforma / Usługa — oprogramowanie SaaS Merkatico do modelowania Marketing Mix (MMM), udostępniane Klientowi za pośrednictwem przeglądarki internetowej.Platform / Service — Merkatico's SaaS software for Marketing Mix Modeling (MMM), made available to the Customer via a web browser.
• Dane Klienta — wszelkie dane marketingowe, sprzedażowe i inne materiały dostarczone przez Klienta w celu korzystania z Usługi.Customer Data — all marketing, sales, and other data provided by the Customer for the purpose of using the Service.
• Opłata za Usługę — wynagrodzenie należne Usługodawcy zgodnie z aktualnym cennikiem.Service Fee — the fee payable to the Service Provider in accordance with the current price list.
• Umowa — niniejszy Regulamin wraz z Formularzem Zamówienia (jeśli dotyczy), tworzące wiążące porozumienie pomiędzy Usługodawcą a Klientem.Agreement — these Terms of Service together with the Order Form (if applicable), forming a binding agreement between the Service Provider and the Customer.

2Zakres usługScope of services

Merkatico udostępnia platformę SaaS służącą do analizy efektywności działań marketingowych za pomocą metodologii Marketing Mix Modeling opartej na modelach bayesowskich. Platforma umożliwia:

Merkatico provides a SaaS platform for analysing the effectiveness of marketing activities using Marketing Mix Modeling methodology based on Bayesian models. The Platform enables:

• wyznaczanie ROI poszczególnych kanałów marketingowych;determination of ROI for individual marketing channels;
• analizę wkładu kanałów w sprzedaż (incrementality);analysis of channel contribution to sales (incrementality);
• modelowanie efektów opóźnionych (adstock) i nasycenia (diminishing returns);modelling of delayed effects (adstock) and saturation (diminishing returns);
• symulacje scenariuszy budżetowych (what-if);budget scenario simulations (what-if);
• prognozowanie i optymalizację alokacji budżetu.forecasting and budget allocation optimisation.

Usługodawca zastrzega prawo do rozwijania, modyfikowania lub ograniczania funkcji Platformy, informując Klientów z odpowiednim wyprzedzeniem.

The Service Provider reserves the right to develop, modify, or limit the features of the Platform, informing Customers with appropriate notice.

3Warunki dostępu i rejestracjaAccess conditions and registration

Korzystanie z Platformy wymaga rejestracji i akceptacji niniejszego Regulaminu. Klient zobowiązuje się do:

Using the Platform requires registration and acceptance of these Terms of Service. The Customer undertakes to:

• podania prawdziwych i aktualnych danych rejestracyjnych;provide accurate and current registration data;
• zachowania poufności danych logowania;maintain the confidentiality of login credentials;
• niezwłocznego powiadomienia Usługodawcy o nieautoryzowanym dostępie do konta;promptly notify the Service Provider of any unauthorised access to the account;
• korzystania z Platformy wyłącznie w celach zgodnych z prawem.use the Platform only for lawful purposes.

Klient jest odpowiedzialny za wszelkie działania podejmowane za pośrednictwem swojego konta, w tym działania Użytkowników.

The Customer is responsible for all actions taken through their account, including actions of Users.

4Licencja i prawa do korzystania z PlatformyLicence and rights to use the Platform

Po dokonaniu płatności Usługodawca udziela Klientowi ograniczonej, niewyłącznej, niezbywalnej i niepodlegającej sublicencji licencji na korzystanie z Platformy wyłącznie w celach własnej działalności, przez okres obowiązywania Umowy.

Upon payment, the Service Provider grants the Customer a limited, non-exclusive, non-transferable, and non-sublicensable licence to use the Platform solely for their own business purposes, for the duration of the Agreement.

Zabronione jest w szczególności:The following are prohibited in particular:

• modyfikowanie, dekompilowanie lub odtwarzanie kodu źródłowego Platformy;modifying, decompiling, or reverse-engineering the Platform's source code;
• odsprzedaż, sublicencjonowanie lub udostępnianie Platformy osobom trzecim bez pisemnej zgody Usługodawcy;reselling, sublicensing, or providing access to the Platform to third parties without the Service Provider's written consent;
• korzystanie z Platformy w celu budowania konkurencyjnego produktu lub usługi;using the Platform to build a competing product or service;
• automatyczne pozyskiwanie danych (scraping) z Platformy;automated data extraction (scraping) from the Platform;
• używanie Platformy w sposób naruszający przepisy prawa lub prawa osób trzecich.using the Platform in a manner that violates applicable law or third-party rights.

5Dane Klienta i własność intelektualnaCustomer data and intellectual property

Klient zachowuje pełne prawa własności do Danych Klienta. Przesyłając dane do Platformy, Klient udziela Usługodawcy niewyłącznego, ograniczonego prawa do ich przetwarzania wyłącznie w celu świadczenia Usługi.

The Customer retains full ownership rights over Customer Data. By uploading data to the Platform, the Customer grants the Service Provider a non-exclusive, limited right to process it solely for the purpose of providing the Service.

Usługodawca jest uprawniony do tworzenia zanonimizowanych, zagregowanych danych statystycznych z wykorzystania Platformy w celu jej ulepszania, pod warunkiem że takie dane nie pozwalają na identyfikację Klienta ani jego danych.

The Service Provider is entitled to generate anonymised, aggregated statistical data from Platform usage for improvement purposes, provided that such data does not allow identification of the Customer or their data.

Wszelkie prawa własności intelektualnej do Platformy, algorytmów, metodologii i dokumentacji pozostają wyłączną własnością Usługodawcy.

All intellectual property rights to the Platform, algorithms, methodology, and documentation remain the exclusive property of the Service Provider.

6Opłaty i płatnościFees and payments

Aktualne ceny Usługi dostępne są na stronie merkatico.com. Opłaty są pobierane z góry, zgodnie z wybranym planem subskrypcyjnym.

Current Service prices are available at merkatico.com. Fees are charged in advance in accordance with the selected subscription plan.

• Wszystkie ceny są podane w USD i nie zawierają podatku VAT (jeśli dotyczy).All prices are quoted in USD and exclude VAT (where applicable).
• Termin płatności wynosi 14 dni od wystawienia faktury.The payment term is 14 days from the date of invoice.
• W przypadku opóźnienia w płatności Usługodawca może zawiesić dostęp do Platformy po uprzednim pisemnym wezwaniu.In case of payment delay, the Service Provider may suspend access to the Platform following prior written notice.
• Usługodawca zastrzega prawo do zmiany cennika z 30-dniowym wyprzedzeniem. W przypadku braku akceptacji zmiany Klient może wypowiedzieć Umowę.The Service Provider reserves the right to change the price list with 30 days' notice. If the Customer does not accept the change, they may terminate the Agreement.
• Opłaty uiszczone zgodnie z Umową nie podlegają zwrotowi, chyba że co innego wynika z obowiązujących przepisów prawa.Fees paid in accordance with the Agreement are non-refundable, unless otherwise provided by applicable law.

7Dostępność PlatformyPlatform availability

Usługodawca dołoży uzasadnionych starań w celu zapewnienia ciągłości działania Platformy. Usługodawca zastrzega prawo do czasowego zawieszenia dostępu w celu przeprowadzenia prac konserwacyjnych, aktualizacji lub w przypadku zagrożenia bezpieczeństwa — informując Klientów z odpowiednim wyprzedzeniem, o ile jest to możliwe.

The Service Provider will make reasonable efforts to ensure continuous Platform operation. The Service Provider reserves the right to temporarily suspend access for maintenance, updates, or security reasons — informing Customers in advance where possible.

Usługodawca nie ponosi odpowiedzialności za przerwy spowodowane czynnikami zewnętrznymi, w tym awarią infrastruktury sieciowej lub usług podmiotów trzecich.

The Service Provider is not liable for interruptions caused by external factors, including network infrastructure failures or third-party service outages.

8PoufnośćConfidentiality

Każda ze Stron zobowiązuje się do zachowania w poufności wszelkich informacji otrzymanych od drugiej Strony, które są oznaczone jako poufne lub co do których można zasadnie przyjąć, że mają charakter poufny.

Each Party undertakes to keep confidential all information received from the other Party that is marked as confidential or that can reasonably be assumed to be confidential in nature.

Obowiązek poufności obowiązuje przez czas trwania Umowy oraz przez okres 5 lat po jej zakończeniu. Nie dotyczy informacji powszechnie dostępnych, otrzymanych zgodnie z prawem od osób trzecich lub których ujawnienie jest wymagane przez przepisy prawa.

The confidentiality obligation applies during the term of the Agreement and for 5 years after its termination. It does not apply to publicly available information, information lawfully received from third parties, or information whose disclosure is required by law.

Dane Klienta są przechowywane w izolowanym środowisku — nie są udostępniane innym klientom ani osobom trzecim w celach innych niż realizacja Usługi.

Customer Data is stored in an isolated environment — it is not shared with other customers or third parties for purposes other than delivering the Service.

9Ochrona danych osobowychPersonal data protection

Zasady przetwarzania danych osobowych zostały szczegółowo opisane w Polityce Prywatności. Platforma Merkatico opiera się na zagregowanych danych marketingowych i nie wymaga przetwarzania danych osobowych użytkowników końcowych Klienta.

The rules for processing personal data are described in detail in the Privacy Policy. The Merkatico Platform is based on aggregated marketing data and does not require processing personal data of the Customer's end-users.

W zakresie, w jakim Dane Klienta zawierają dane osobowe, Usługodawca przetwarza je jako podmiot przetwarzający (procesor) w rozumieniu RODO, wyłącznie zgodnie z udokumentowanymi poleceniami Klienta.

To the extent Customer Data contains personal data, the Service Provider processes it as a data processor under GDPR, solely in accordance with the Customer's documented instructions.

10Ograniczenie odpowiedzialnościLimitation of liability

Platforma jest udostępniana w stanie „tak jak jest" (as is). Usługodawca nie gwarantuje, że Platforma będzie działać bez przerw i błędów, ani że wyniki modelowania będą w pełni dokładne — dokładność modelu zależy od jakości i kompletności Danych Klienta.

The Platform is provided "as is". The Service Provider does not guarantee that the Platform will operate without interruptions and errors, nor that the modelling results will be fully accurate — model accuracy depends on the quality and completeness of Customer Data.

Usługodawca nie ponosi odpowiedzialności za:

The Service Provider is not liable for:

• decyzje biznesowe podjęte na podstawie wyników analiz Platformy;business decisions made based on the Platform's analysis results;
• straty pośrednie, utratę zysku ani szkody wynikające z utraty danych;indirect losses, loss of profit, or damages resulting from data loss;
• działania podmiotów trzecich integrowanych z Platformą (np. Google Ads, Meta Ads).actions of third parties integrated with the Platform (e.g. Google Ads, Meta Ads).

Łączna odpowiedzialność Usługodawcy wobec Klienta z tytułu wszelkich roszczeń wynikających z Umowy nie przekroczy kwoty Opłat za Usługę zapłaconych przez Klienta w ciągu 12 miesięcy poprzedzających zdarzenie powodujące szkodę.

The Service Provider's total liability to the Customer for all claims arising from the Agreement shall not exceed the amount of Service Fees paid by the Customer during the 12 months preceding the event giving rise to the claim.

11Czas trwania i wypowiedzenie UmowyTerm and termination of the Agreement

Umowa jest zawierana na okres wskazany przy rejestracji lub zakupie planu subskrypcyjnego i ulega automatycznemu odnowieniu, chyba że Klient złoży wypowiedzenie przed końcem okresu rozliczeniowego.

The Agreement is concluded for the period indicated upon registration or purchase of a subscription plan and renews automatically, unless the Customer submits a termination notice before the end of the billing period.

Rozwiązanie Umowy ze skutkiem natychmiastowym:Termination with immediate effect:

Każda ze Stron może rozwiązać Umowę ze skutkiem natychmiastowym w przypadku:

Either Party may terminate the Agreement with immediate effect in the event of:

• ogłoszenia upadłości lub likwidacji drugiej Strony;the other Party's declaration of bankruptcy or liquidation;
• istotnego naruszenia postanowień Umowy, które nie zostało naprawione w ciągu 30 dni od pisemnego wezwania.a material breach of the Agreement that has not been remedied within 30 days of written notice.

Po rozwiązaniu Umowy Klient traci dostęp do Platformy, a Usługodawca usuwa Dane Klienta w ciągu 30 dni, chyba że przepisy prawa wymagają dłuższego przechowywania.

Upon termination, the Customer loses access to the Platform, and the Service Provider deletes Customer Data within 30 days, unless required by law to retain it for longer.

12Siła wyższaForce majeure

Żadna ze Stron nie ponosi odpowiedzialności za opóźnienie lub niewykonanie zobowiązań wynikających z okoliczności niezależnych od jej woli (siła wyższa), w tym: klęsk żywiołowych, wojen, pandemii, awarii infrastruktury internetowej, działań władz publicznych lub długotrwałych przerw w dostawie energii elektrycznej.

Neither Party shall be liable for delay or failure to perform obligations resulting from circumstances beyond its control (force majeure), including: natural disasters, wars, pandemics, internet infrastructure failures, actions of public authorities, or prolonged power outages.

Strona, której dotknęła siła wyższa, zobowiązana jest niezwłocznie poinformować drugą Stronę o zaistniałym zdarzeniu i przewidywanym czasie jego trwania.

The Party affected by force majeure is obliged to promptly notify the other Party of the event and its expected duration.

13Zmiany RegulaminuChanges to the Terms of Service

Usługodawca zastrzega prawo do zmiany niniejszego Regulaminu. O wszelkich istotnych zmianach Klient zostanie poinformowany drogą e-mailową lub poprzez powiadomienie w Platformie z co najmniej 30-dniowym wyprzedzeniem przed wejściem zmian w życie.

The Service Provider reserves the right to amend these Terms of Service. Customers will be informed of any material changes by email or via a Platform notification with at least 30 days' notice before the changes take effect.

Kontynuowanie korzystania z Platformy po wejściu zmian w życie jest równoznaczne z ich akceptacją. W przypadku braku akceptacji Klient ma prawo wypowiedzieć Umowę przed datą wejścia zmian w życie.

Continued use of the Platform after the changes take effect constitutes acceptance thereof. If the Customer does not accept the changes, they have the right to terminate the Agreement before the effective date of the changes.

14Prawo właściwe i rozstrzyganie sporówGoverning law and dispute resolution

Niniejszy Regulamin podlega prawu polskiemu. Wszelkie spory wynikające z Umowy lub z nią związane Strony zobowiązują się rozwiązywać polubownie w terminie 60 dni od zgłoszenia sporu.

These Terms of Service are governed by Polish law. The Parties undertake to resolve all disputes arising from or related to the Agreement amicably within 60 days of the dispute being raised.

W przypadku braku porozumienia spory będą rozstrzygane przez sąd właściwy dla siedziby Usługodawcy, tj. sąd właściwy dla miejscowości Jarosławiec / Sławno (województwo zachodniopomorskie), chyba że bezwzględnie obowiązujące przepisy prawa stanowią inaczej.

In the absence of an amicable resolution, disputes shall be submitted to the court having jurisdiction over the Service Provider's registered place of business (Jarosławiec / Sławno, Zachodniopomorskie voivodeship), unless mandatory provisions of law stipulate otherwise.

15Postanowienia końcoweFinal provisions

• Rozdzielność postanowień: jeżeli którekolwiek postanowienie Regulaminu okaże się nieważne lub niewykonalne, pozostałe postanowienia zachowują pełną moc.Severability: if any provision of the Terms of Service proves invalid or unenforceable, the remaining provisions remain in full force.
• Cesja: Klient nie może przenosić praw i obowiązków wynikających z Umowy bez uprzedniej pisemnej zgody Usługodawcy. Usługodawca może dokonać cesji na rzecz podmiotu przejmującego jego działalność.Assignment: The Customer may not transfer rights and obligations under the Agreement without the Service Provider's prior written consent. The Service Provider may assign to an entity taking over its business.
• Podwykonawcy: Usługodawca jest uprawniony do korzystania z podwykonawców przy świadczeniu Usługi. Usługodawca odpowiada za działania podwykonawców jak za własne.Subcontractors: The Service Provider is entitled to use subcontractors in providing the Service. The Service Provider is liable for subcontractors' actions as for its own.
• Język: w przypadku rozbieżności między wersją polską a angielską Regulaminu, wersja polska ma pierwszeństwo.Language: in case of any discrepancy between the Polish and English versions of the Terms of Service, the Polish version shall prevail.
• Całość porozumienia: niniejszy Regulamin wraz z Polityką Prywatności stanowi całość porozumienia pomiędzy Stronami w zakresie korzystania z Platformy.Entire agreement: these Terms of Service together with the Privacy Policy constitute the entire agreement between the Parties regarding use of the Platform.
